Clarification No. 3-OR · 2 June 2023

Control means any criterion of Article 5 of Law No. 57-FZ; a blocking right alone is not control

The Bank of Russia’s control test for the counter-sanctions decrees: a person is controlled if any criterion in parts 1–2¹ of Article 5 of Law No. 57-FZ is met, but a mere power to block decisions is not control.

What it says

For paragraph 1 of Decree No. 81, paragraphs 1 and 12(a) of Decree No. 95, paragraph 1 of Decree No. 254, paragraph 1 of Decree No. 737 and paragraphs 11 and 12 of Decree No. 138, a person is controlled if one of the criteria in parts 1–2¹ of Article 5 of the Strategic Investments Law (No. 57-FZ) is met. The ability to block decisions under law, the charter or a contract is not by itself a sign of control. Subparagraph 1.1 of Clarification No. 2-OR no longer applies.
